Leupold & Stevens, Inc. understands that you desire to submit to us an idea or invention that you believe has commercial value. We are willing to consider any unsolicited ideas or inventions submitted to us. We have found it important, however, that both sides have a clear understanding of the conditions applicable to such consideration. Those conditions are: 1. Leupold & Stevens, Inc. cannot agree to keep your idea or invention secret. You understand that we may disclose it to employees, consultants, or others for evaluation. 2. Leupold & Stevens, Inc. has, at present, no business or other relationship with you. You acknowledge that no confidential or fiduciary relationship, either express or implied, is created by reason of the fact that we are considering your submission. 3. You agree that in protecting your idea or invention you will rely solely on such rights as may be accorded to you under applicable patent and copyright laws, and that our consideration of your submission shall not affect our right to contest the validity of any such patents or copyrights. 4. Leupold & Stevens, Inc. will give your idea or invention such consideration as we think it merits, in our exclusive judgement. We may reject your idea or invention, in which case we are not obligated to provide you with any reason or justification for such rejection or results of our evaluation. If we are interested in acquiring rights to your idea or invention, we will do so only upon mutually agreeable terms that shall be set forth in a written agreement detailing our respective rights and responsibilities. 5. Leupold & Stevens, Inc. will consider your idea or invention at your request and upon your assurance that, to the best of your knowledge, you are the sole originator, you are the exclusive owner, and you have the legal right to negotiate with us concerning it.
